November 2026 brings several important startup tax deadlines: Third-quarter federal payroll reporting on November 2, extended Florida corporate returns on November 2, and extended California and Illinois corporate returns on November 16. These obligations can apply even when your startup is operating at a loss.
For founders, the key is separating payroll filings, income tax returns, and local business taxes. Each follows its own schedule, and completing your federal return in October does not necessarily finish your state compliance.
November 2026 startup tax deadlines at a glance
The following dates generally apply to calendar-year C-corps and employers, subject to eligibility, filing frequency, and any applicable relief.
| Due date | Filing or payment | Startups affected |

| November 2 | Extended Florida Form F-1120 | Calendar-year corporations with Florida filing obligations that obtained a valid extension. |
| November 2 | Q3 Illinois payroll withholding report | Employers with Illinois withholding reporting obligations. |
| November 2 | Q3 New York Form NYS-45 | Employers with New York withholding, wage reporting, or unemployment insurance obligations. |
| November 10 | Additional time to file Q3 Form 941 | Employers that timely deposited and paid all required taxes in full. |
| November 16 | Extended California Form 100 or 100W | Eligible calendar-year C-corps with California filing obligations. |
| November 16 | Extended Illinois Form IL-1120 | Calendar-year C-corps using Illinois’s automatic seven-month filing extension. tax. |
Several dates move into November because October 31 falls on a Saturday in 2026. Likewise, the November 15 state corporate filing deadlines move to Monday, November 16.
Federal: November 2 payroll reporting and R&D credit claims
File third-quarter Form 941
The standard deadline to file Form 941 for July-September 2026 is November 2. Employers use this return to report federal income tax withholding, Social Security tax, and Medicare tax. Employers that timely deposited and paid all required taxes in full have until November 10 to file.
The return deadline is not a blanket extension for payroll tax deposits. Deposits follow a separate schedule, so your startup should not wait until November to remit taxes that were due during the quarter.
Before filing, have your finance team or payroll provider confirm that:
- Wages and tax liabilities match the payroll reports.
- Deposits reconcile to the amounts reported on the return.
- Any adjustments are documented.
- Applicable payroll tax credits have been included correctly.
Review the R&D payroll tax credit
November 2 is also the quarterly R&D payroll credit checkpoint highlighted in our startup C-corp tax deadline guide. Eligible startups that have elected to apply their research credit against payroll taxes should confirm that the available credit is properly reflected in their quarterly payroll reporting.
Treat this as a coordination task between your tax preparer and payroll provider, not an automatic credit available to every startup. Confirm eligibility, the election, and the amount available before assuming the credit will reduce your payroll tax bill.
Miami: November 2 extended Florida corporate return
For calendar-year corporations with a valid Florida filing extension, the extended Florida Corporate Income/Franchise Tax Return, Form F-1120, is due November 2, 2026. This state deadline is separate from the October 15 federal extended-return deadline.
Florida requires corporations subject to its filing rules to submit Form F-1120 even when no tax is due. To obtain an extension, corporations must file Form F-7004 with any required tentative tax payment by the original deadline. The extension provides additional filing time, not additional time to pay.
For Miami and Florida startups, November is therefore a final state-return checkpoint. Confirm that the Florida return reflects the company’s federal filing, state adjustments, and previously paid taxes.
Chicago: November 2 payroll report and November 16 corporate return
Chicago startups should track two Illinois state deadlines.
November 2: Q3 withholding report
The third-quarter Illinois payroll withholding report is due November 2, 2026. Employers should confirm that their payroll provider has completed the report and that withholding balances agree with their accounting records.
November 16: Extended Illinois corporate return
Calendar-year C-corps using Illinois’s automatic seven-month extension must file their Illinois corporate income and replacement tax return, Form IL-1120, by November 16, 2026. Illinois does not require a separate form to obtain the automatic extension, but any tax due must still be paid by the original payment deadline.
Do not assume that submitting the federal return in October also satisfies the Illinois requirement. Confirm state adjustments, allocations, and payment credits before closing out the filing.
California startup hubs: November 16 extended corporate return
Startups with California C-corp filing obligations, including companies operating in San Francisco, Palo Alto, Mountain View, San Jose, Santa Monica, and San Diego, should calendar November 16, 2026, for their extended 2025 California corporate return. The Franchise Tax Board’s instructions list this date for calendar-year Form 100 and Form 100W filers.
California’s C-corp extension differs from the federal extension: Qualifying corporations receive seven additional months beyond the original filing deadline. The automatic extension generally requires the corporation to remain eligible and in good standing; it does not extend the deadline for paying tax.
Before filing, review:
- California-specific adjustments to federal taxable income.
- State allocation and apportionment.
- Previously paid minimum franchise tax and estimated payments.
- Applicable credits and loss carryforwards.
- The company’s eligibility for the automatic extension.
San Francisco: Confirm the Q3 estimated business tax deadline
San Francisco startups should also check their third estimated business tax payment. The city’s official guidance sets the recurring deadline at October 31, while the Kruze city page lists October 30 for 2026. Those sources do not agree on the exact date, so founders should confirm the applicable 2026 deadline in the city’s Business Tax Payment Portal rather than rely on the earlier date alone.
This payment is separate from California corporate income tax. A startup should evaluate its city business tax obligations independently of whether it owes federal or state income tax.
New York City: November 2 quarterly payroll return
Startups with New York employees generally must file Q3 Form NYS-45 by November 2, 2026. The form combines withholding, wage reporting, and unemployment insurance reporting. Its usual October 31 deadline moves to the next business day when it falls on a weekend.
For New York City startups, confirm that employee work locations, withholding, and unemployment insurance reporting are accurate. This is a New York State employer filing, not a separate NYC corporate income tax return.
November startup accounting checklist
Use November to close out outstanding state returns and reconcile third-quarter payroll:
- File Q3 Form 941 by November 2, or November 10 if the additional filing time applies.
- Confirm that any available R&D payroll credit is included correctly in quarterly reporting.
- File an extended Florida corporate return by November 2 where required.
- Complete Illinois and New York quarterly employer filings due November 2.
- File eligible extended California and Illinois C-corp returns by November 16.
- Resolve any uncertainty about San Francisco’s estimated business tax payment date with the city.
- Reconcile filed returns and payments to your books, and retain submission confirmations.
These are selected deadlines, not a complete list of every startup’s obligations. Monthly payroll deposits, sales tax returns, and business-specific filings may also apply based on your company’s locations and filing schedule.
